1. About HSBAH

HSBAH is a global EOR & workforce management firm based in India under HS356 Enterprises. We provide offshore hiring, onboarding, payroll, compliance, and team management services for global businesses without requiring them to set up a legal entity in India.

2. Service Agreement & Minimum Engagement

By engaging HSBAH services, the client agrees to:

  • A minimum contract period of 6 months

  • if you follow our pre-billing system each month for at least 12 month contract and 30 days notice period rule then we will give you additional 10% off on whole bill.

  • A 30-day written notice for early termination

  • A fixed monthly invoicing model, payable in advance or by the 1st of each billing month

  • All amounts payable in USD, using a fixed exchange rate of 1 USD = ₹85 (or as agreed)

3. Payment Terms & Breach Consequences

  • Late payments (under 7 days) are subject to a 2% monthly penalty

  • If the client fails to pay within 7 days, HSBAH may suspend services until payment is received

  • Continued non-payment may result in legal action or arbitration at the client’s expense

  • In case Client delay or deny to pay after 7 days then for salary of employee and our fees also client company responsible and they have to pay with 100% penalty of total fees of whole employees hired by them from us .

4. Non-Poaching & Confidentiality

  • The client agrees not to approach or hire any employee assigned by HSBAH directly or indirectly for 12 months after contract termination

  • In case of breach, a poaching fee equal to 6 months’ salary of the hired employee will be payable

  • All employees and clients are bound by strict NDAs. Sharing contact details, tasks, or work agreements without written consent will result in immediate legal escalation

5. Employee & Contractor Guidelines

  • Employees/Contractors hired via HSBAH must not engage in direct discussions with clients regarding compensation, terms, or hiring opportunities

  • Any attempt to bypass HSBAH will result in immediate termination and legal proceedings as per Indian labor law and client’s local jurisdiction

  • HSBAH retains full authority to manage hiring, replacement, training, and payroll processes

6. Service Guarantees

HSBAH agrees to:

  • Provide replacement within 10–14 business days if any staff resigns or is removed

  • Maintain confidentiality, compliance, and workforce tracking systems (where required)

  • Offer a dedicated account manager for each client for seamless delivery and support

7. Termination & Refund Policy

  • All termination requests must be in writing with 30 days' notice

  • No refunds are applicable once services begin or payroll is released

  • HSBAH reserves the right to terminate the agreement without refund in case of:

    • Non-payment

    • Breach of trust or data misuse

    • Direct hiring attempts

8. Currency & Forex Risk Mitigation

  • All invoices will be raised in USD, and currency is locked at the rate defined in the contract (e.g., $1 = ₹85) to avoid fluctuation risk

  • In the event of extreme currency volatility (>10%), HSBAH reserves the right to renegotiate rates with mutual consent

9. Legal Jurisdiction

  • This agreement shall be governed under the laws of India, specifically the State of Karnataka

  • Any dispute arising shall be settled via arbitration in Bangalore, or international arbitration if the client resides outside India in neutral venue Dubai Court or Singapore Court.

10. Liability Disclaimer

HSBAH shall not be liable for:

  • Any delays caused by client-side processes, holidays, or infrastructure limitations

  • The misuse or miscommunication between the client and the assigned employee, if outside HSBAH supervision

  • Legal action resulting from the client’s use of our services in violation of local laws or international sanctions
